This agreement is between the customer whose details are set out in the "Booking contact name" located in the ‘book now’ section of the meetings and conference online booking form attached to these terms and conditions (You) and Asdoo.com Pty Ltd (Asdoo.com). By clicking the "I Agree" button in the online form to which these terms and conditions are attached, You acknowledge that You have read this agreement, understand it and agree to be bound by its terms and conditions.
Definitions
In this agreement:
Booking Fee means the amount set out on the booking page of the Website.
Booking Service means the service of receiving any booking information provided by You for Conference Services via the Website and submitting that information electronically to the Supplier, along with the service of accepting payment from You for those Conference Services, and passing the Conference Service Fees payments to the Supplier, subject to the terms and conditions of this agreement.
Conference Services means the provision of any conference, meeting, event, function, seminar, training, or similar services described on the Website, including the provision of any accommodation in conjunction with those services if selected by You on the Website.
Conference Service Fees means the fees displayed on the Website for the provision of the Conference Services (but for the avoidance of doubt, does not include the Booking Fee or any relevant Surcharge).
Property means the venue or property owned or operated by the Supplier from which the Conference Services are provided.
Supplier means the provider of the Conference Services.
Surcharge means a charge of 2% of the total of the Conference Services Fees and the Booking Fees in relation to any payments made by American Express or Diners cards.
Website means the websites used from time to time by Asdoo.com to provide the Booking Service.
Asdoo.com Obligations
1. Asdoo.com will provide the Booking Service upon receipt of payment in accordance with the "Payment" terms and conditions set out below.
Customer Obligations
2. The person entering this agreement (and if You are a corporation, the person entering into this agreement on Your behalf) must be at least 18 years old and possess the legal authority to enter into this agreement. Should Asdoo.com suffer any damages or other losses as a result of a transaction entered by a minor, Asdoo.com reserves the right to seek compensation for such losses from the credit card holder who caused or assisted in any booking(s) to be placed with Asdoo.com.
3. Your booking obligation is to ensure that You keep Your personal details (telephone contact, email address and credit card details) current up to 3 days prior to the conference start date.
4. If You require breakout areas (including pre-function and after function facilities) these can be arranged with the Supplier by indicating this preference via the "book now" page. Additional fees may apply.
5. All events that require catering will be managed in-house by the Supplier (unless otherwise indicated) therefore, permission in writing is required from the Supplier if food and/or drinks are to be bought onto the Property by You.
6. You must not:
(a) link to any part of the Website, without Asdoo.com's prior written consent;
(b) use any device, software or routine to interfere or attempt to interfere with the proper working of the Website or any transaction or process being conducted on or through it; or
(c) take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Website.
7. When booking through Asdoo.com You may use the free text comments box and/or check box to submit any special requests. Asdoo.com encourages Suppliers to meet reasonable requests, but cannot guarantee that a Supplier will honour every special request.
Payment
8. By entering into this agreement, You authorise the following fees to be debited from the credit card details You provide to Asdoo.com, or if those details do not allow the fees to be fully debited, the details You provide to the Supplier:
(a) the Booking Fee;
(b) any relevant Surcharge; and
(c) the Conference Service Fees.
9. Once payment from Your credit card is released to Asdoo.com, Asdoo.com will confirm Your booking, and provide a tax invoice via email to the email address notified by You on the booking page of the Website.
10. You acknowledge and agree that the Supplier will require a pre-authorisation from Your valid credit card at registration on the first day of the Conference Services to cover any additional and/or incidental charges outside of the Conference Services booked via the Website.
11. Asdoo.com’s Booking Fee is non-refundable.
12. Asdoo.com is not commissionable in respect of its offers to registered travel agents, or professional conference organisers.
13. Asdoo.com receives a payment from Suppliers for the provision of the Booking Service.
Variations
14. You may notify Asdoo.com of any variations to Your booking via the Website, email or telephone, subject to the terms and conditions set out below.
15. The final number of attendees to the Conference Services (including catering) may be varied by You by up to 20% (plus or minus) of the confirmed booking, greater than 3 business days prior to the event start date, however:
(a) where the number of attendees booked by You is less than 80% of the confirmed booking an adjustment to the Conference Service Fee will be made to equate to a minimum attendance of 80% of the confirmed attendees; and
(b) where the number of attendees is increased by You to more than 120% of the confirmed booking, the Supplier will endeavour to accommodate these changes, however Asdoo.com cannot guarantee that the Supplier will accept the variation.
(c) no variance to attendee number, including catering, will be accepted within 3 business days prior to the event start date.
16. Any reduction or increase in attendees may result in a change to the type of room booked by You, and may potentially result in additional charges at the discretion of the Supplier.
17. You may request menu item changes within the pre-set food and beverage plans (subject to availability) up to 7 business days prior to the event start date.
18. You may request changes to the number and/or items of audio and visual equipment from Your confirmed booking greater than 3 business days prior to the event start date.
Cancellations
19. Cancellations by You can be made by either emailing cancellations@asdoo.com or via our contact us page, and will be actioned during Asdoo.com operating hours.
20. If You cancel Conference Services:
(a) less than 7 days prior to the event start date, You will be charged the full Conference Services Fee including Booking Fee and any Surcharge;
(b) greater than 7 days from the event start date, You will receive a 65% refund of the Conference Services Fee (please note that the Booking Fee is non-refundable).
21. You are not entitled to any refund, or amendment of the scope of Conference Services, in the event of any late arrival, non-arrival ("no show"), or early departure by You for any reason. Asdoo.com does not authorise any Supplier representative to promise a refund on Asdoo.com’s behalf.
Accommodation specific terms
22. Any accommodation that You book as part of the Conference Services is subject to the Terms and Conditions - Accommodation and in the case of any inconsistency between that document and this agreement, the terms and conditions of this agreement will prevail. In particular, the following terms and conditions will apply to any accommodation booked as part of the Conference Services:
(a) All transactions will incur any relevant Surcharge;
(b) Accommodation bookings paid for by You (as conference organiser) will not incur a Booking Fee;
(c) Accommodation bookings for "Pay own" accommodation will incur all related Booking Fees;
(d) Cancellations (company paid) - You may cancel all guest rooms and still have no obligation to pay the Conference Services Fee relating to that accommodation provided that a minimum of 7 days notice prior to the check-in date is given; (i) For cancellations less than 7 days full Accommodation Services Fee payment is required;
(e) Payment ("pay own") - payment in full is required greater than 7 days prior to the accommodation check-in date or event start date (whichever is first), otherwise the accommodation booked will be cancelled.
Liability
23. Subject to any warranties or responsibilities implied by law and which cannot be excluded, Asdoo.com, and its directors, employees, agents and contractors, are not liable to You for any losses, damages, liabilities, claims and expenses (including but not limited to legal costs and defence or settlement costs) whatsoever, whether direct, indirect or consequential, arising out of or referable to the Booking Services provided by Asdoo.com through the Website, any material on this Website, any third party material, or access to the Website by You, howsoever caused, whether in contract, tort including negligence, statute or otherwise.
24. To the extent permitted by law, Asdoo.com makes no warranty or representation about the fitness or suitably of any product or service displayed on its Website.
25. The liability of Asdoo.com for breach of a condition or warranty implied by law, and which cannot be excluded, is limited, to the extent possible and at Asdoo.com's option, to the supply of the goods or services again, the repair of the goods, or the payment of the cost of having the goods or services supplied again or repaired.
26. Although Asdoo.com endeavours to ensure that all the information relating to the Conference Services (such as packages, rates, availability of Conference Services, and images) and appearing on the Website is current, accurate and free from error or omissions, that information is not generated by Asdoo.com, and to the extent permitted by law, Asdoo.com cannot and does not warrant that this information is correct, and the use of that information is entirely at Your risk.
27. To the extent permitted by law, Asdoo.com does not warrant that the Website, or any third party websites will be free from viruses, or that access to those websites will be uninterrupted. Access to the Website is provided to You on an "as is" basis.
28. If for any reason the Supplier is unable to provide the Conference Services for which You have paid, or You otherwise suffer any loss, damage or cost due to the acts or omissions of the Supplier, then to the extent permitted by law, Your claim lies against that Supplier, not against Asdoo.com, and You hereby irrevocably waive and release Asdoo.com from any liability relating to the same. As the payment has been made to Asdoo.com by credit card, You agree that You will not seek to charge back Your payments to Asdoo.com.
29. Asdoo.com shall not be responsible for any actions or omissions on the part of the Supplier, which results in any loss relating to merchandise or materials, damage, delay or injury to You or Your associates. Asdoo.com will not be responsible for any events of "force majeure" (ie those beyond Asdoo.com’s control).
Indemnity
30. You indemnify and hold harmless Asdoo.com in respect of all liability incurred by Asdoo.com for any loss, damage, cost or expense, howsoever caused, suffered or incurred by Asdoo.com as a result of Your breach of this agreement, or Your use of the Website or any material on this Website.
Intellectual Property
31. You acknowledge and agree that all material on, and comprising, the Website (including its operation, code, architecture and implementation as well as the look and feel of the software that is used in the operation of the Website, but excluding any information provided by any Suppliers relating to the Conference Services) is the valuable intellectual property of Asdoo.com.
32. Your rights to use the software associated with operating the Website, and the data contained within the Website, are strictly limited to downloading a copy of the Website to the local hard drive of Your computer used to access the Website, and printing extracts of the Website, but only for Your personal use.
33. You acknowledge and agree that nothing in this agreement in any way assigns any intellectual property rights owned by Asdoo.com in the Website, or the material on the Website, to You, and that You have no right to modify, translate, disassemble, disseminate, decompile, reverse engineer, create derivative works of, or make any other attempt to discover or obtain the source code for the software that operates the Website. You are not permitted to copy any of the material on the Website or otherwise incorporate or store it into any other website, electronic retrieval system, publication or other work in any form, or provide a link to the Website unless otherwise specified in this agreement, or with Asdoo.com’s prior written consent.

General
35. Asdoo.com needs to collect information about You to process Your booking. Once You have made Your booking, Asdoo.com will provide Your information (excluding credit card details and email address) to the Supplier so they can process Your booking. Please refer to our privacy policy for further information.
36. The Supplier may have specific policies relating to their Property that are displayed on the Website, and You agree that You will comply with them when You register with the Supplier.
37. The parties agree that this agreement will be governed by the laws of the State of Queensland, Australia.
38. The parties irrevocably and unconditionally submit to the non-exclusive jurisdiction of the courts of the State of Queensland, Australia and the courts of appeal from them, for determining any dispute concerning this agreement or the transactions contemplated by it, and the parties waive any right they have to object to an action being brought in those courts.
39. Should any clause or part thereof of this agreement be found to be void, unenforceable or invalid, then it is severed from this agreement, leaving the remainder in full force and effect, provided that the severance has not altered the basic nature of this agreement.
40. Nothing in this agreement may be deemed to constitute a partnership, joint venture or other legal relationship between Asdoo.com and You, other than that of Asdoo.com acting as an agent for the purposes of facilitating You to acquire Conference Services.
